Business Sales & Commercial Quotation Terms

Version 2 · Published on October 29, 2026

B2B and Quotation Terms

These terms apply to customers purchasing exclusively for business purposes.

The seller is KONIG TRADE EOOD, trading as AM Global Trading, registered in Bulgaria under UIC 208316881, with its registered office at 157 Georgi S. Rakovski Blvd., Floor 3, Apt. 8, Sredets, 1000 Sofia, Bulgaria.

Contact: support@globaltradingam.com

These terms do not remove the statutory rights of an individual acting as a consumer. Requesting or accepting a quotation does not, by itself, make someone a business customer.

1. Quotation requests and contents

A request for a quotation is an enquiry and does not oblige you to purchase.

A quotation identifies the products and variants, quantities, agreed unit prices, currency, quotation number and revision, validity period, and applicable delivery, tax and payment arrangements.

A quotation is not an invoice. Your acceptance of a quotation is subject to our written order confirmation under section 2.

Please check the product references, compatibility, quantities, billing details and delivery destination before accepting. These checks do not remove our responsibility for accurate descriptions and conformity with the agreed specification.

If you order on behalf of a business, you must be authorised to act for that business.

2. Validity, acceptance and contract formation

A quotation applies only during its stated validity period and to the revision identified in it.

To accept, confirm in writing, for example by email, the quotation number, revision and lines you accept, including the relevant quantities.

A response proposing different prices, quantities, delivery requirements or other conditions is a request to agree those changes. The changes become binding only when expressly agreed.

The contract is concluded when our written confirmation of the agreed quotation and payment terms reaches you.

A payment request, payment receipt or automated acknowledgement does not by itself constitute acceptance unless it expressly confirms our acceptance of the order.

A revised quotation does not retrospectively change an existing contract without your agreement or another lawful basis.

If we collect payment but do not accept the order, we will notify you and refund the full amount collected without undue delay. If payment has only been authorised, we will arrange for the authorisation to be released.

3. Prices, VAT and customs

The quotation states:

  • The currency and applicable unit prices.
  • Whether prices are exclusive or inclusive of VAT.
  • Any agreed discounts.
  • Delivery charges, if any.
  • The total payable or an agreed method of calculating it.
  • The payment amounts and due dates.

VAT treatment depends on the transaction, delivery arrangements and applicable tax rules. Providing a VAT number does not automatically establish entitlement to VAT exemption or reverse-charge treatment.

Please provide accurate business and tax information and notify us of relevant changes. We may request information reasonably necessary to establish the correct tax treatment.

Any exemption or reverse charge will be applied only where its legal conditions are met. The invoice will reflect the treatment required by law. If clarification affects the quoted total before acceptance, we will explain it before confirming the order.

For delivery destinations we accept, we arrange any required import customs clearance and cover the associated customs duties, import taxes and clearance fees. These costs will not be charged to you in addition to the agreed total.

If a carrier or customs authority requests payment of these charges, contact us promptly so that we can resolve the matter.

4. Payment and full-payment requirement

Payment may be made through a payment link provided by Stripe and/or by bank transfer, as stated in the accepted quotation.

A quotation may provide for a single payment, an advance followed by a balance, or several payments under an agreed schedule. The amounts and due dates must be stated in the accepted quotation or a written payment agreement.

Goods will be dispatched only after we have received and verified full payment of the total amount due for the order, including any agreed VAT and delivery charges.

An advance or partial payment does not entitle the buyer to dispatch before the remaining balance has been paid. A staged payment arrangement does not create credit terms extending beyond dispatch.

Several payments allocated to the same sale do not create separate sales contracts merely because they are collected separately.

For bank transfers, a payment instruction or transfer receipt is not confirmation that funds have reached our account. We verify receipt in the designated bank account. For online payments, we verify the payment status with Stripe.

Please use the payment reference supplied with the payment request.

A payment schedule or reminder does not authorise automatic card charges or create a subscription. You initiate each payment yourself.

Changes to unpaid amounts or due dates must be agreed in writing. Any revised schedule must identify the relevant order and outstanding obligations. The full-payment requirement before dispatch continues to apply.

5. Late payment

If payment is not received by an agreed due date, please contact us promptly.

An extension or revised payment schedule must be agreed in writing. A reminder does not itself change a due date.

We will not dispatch goods while the order remains unpaid or only partly paid. Delayed payment may affect the delivery schedule, and we will explain the resulting impact.

Applicable statutory rights concerning late payment remain available where their conditions are met.

These terms do not introduce an additional contractual interest rate, penalty, collection fee or automatic acceleration of future instalments. Any additional contractual late-payment provision applies only if expressly agreed and lawful.

6. Delivery and fulfilment

The delivery destination, charge, lead time and any agreed shipment conditions are those stated in the accepted quotation and our written confirmation.

Unless the quotation expressly states another starting point consistent with the full-payment requirement, the delivery lead time runs from the later of:

  • Conclusion of the contract; or
  • Our receipt and verification of full payment.

If payment is delayed, a previously indicated delivery date may need to be revised. We will inform you of the effect on delivery. This does not remove rights arising under the contract or applicable law.

We may use logistics and fulfilment partners. KONIG TRADE EOOD remains the seller responsible under the contract.

We will not substitute different products or change agreed quantities without your agreement.

Any partial deliveries must be consistent with the accepted agreement or subsequently agreed in writing. They do not remove the requirement for full payment before dispatch.

The transfer of risk is governed by any expressly agreed delivery term and otherwise by applicable law. An Incoterms rule applies only where the agreement identifies the rule, named place and applicable edition. Our obligation to cover the import charges described in section 3 remains part of the agreement.

7. Invoices and payment records

Official invoices are issued in the name of KONIG TRADE EOOD in accordance with applicable invoicing and tax requirements.

A quotation, payment request, payment receipt and sales invoice are separate documents.

Receiving several payments for one sale does not automatically mean that a separate sales invoice will be issued for every payment. Advance-payment invoices, final invoices and credit notes will be issued where required by law and according to the transaction.

Please notify us promptly if your invoicing details are incorrect.

8. Inspection and notification of defects

Inspect the goods on receipt, or as soon as inspection is practicable in the circumstances, and comply with the inspection and notification requirements of applicable law.

Notify us promptly of shortages, incorrect products, visible damage or other apparent non-conformity at support@globaltradingam.com. Hidden defects should be reported promptly after discovery.

Include the order or quotation reference, affected product references and quantities, and a description of the issue. Photographs, packaging information and delivery records may assist the assessment.

We do not impose a separate contractual 24-hour or 48-hour reporting deadline. However, applicable commercial-law rules may require immediate or timely notification, and failure to comply may affect your rights.

Preserve the affected goods and relevant evidence where reasonably possible, and contact us to arrange any necessary inspection or return.

9. Defective, incorrect or incomplete goods

Rights concerning defects, shortages, incorrect goods or other non-conformity are governed by the accepted agreement and applicable law, including mandatory provisions.

Depending on the circumstances and legal conditions, remedies may include repair, replacement, delivery of missing goods, a price reduction, termination or damages.

Please contact us before returning affected goods so that we can coordinate inspection, collection or return. This does not remove any right that arises under applicable law.

The allocation of necessary inspection, return and remedy costs follows the contract and applicable law. The voluntary-return conditions in section 10 do not replace remedies for non-conforming goods.

Our consumer warranty policy does not automatically create identical contractual rights for business purchases. Any commercial guarantee expressly offered applies according to its terms, without overriding mandatory law.

10. Voluntary returns of conforming goods

The 14-day consumer right of withdrawal does not apply to genuine business purchases.

Unless a return right arises under applicable law or the accepted agreement, goods that conform to the contract may be returned for a change of mind only with our prior written agreement.

Before such a return, we will agree in writing:

  • The products and quantities accepted for return.
  • The required condition of the goods.
  • The return address and dispatch arrangements.
  • Responsibility for return costs.
  • The amount and timing of any refund or credit.

These terms do not impose an automatic restocking fee or deduction. Any proposed adjustment must be expressly agreed and lawful.

11. Cancellation

Before contract formation

You may cancel your pending order free of charge before our written acceptance reaches you.

Send your cancellation to support@globaltradingam.com with the quotation or order reference. A cancellation received by us before our acceptance reaches you will be honoured.

If we have collected payment, we will refund it in full without undue delay using the original payment method unless another method is expressly agreed. We do not charge a cancellation or refund fee.

After contract formation

Once the contract has been concluded, cancellation for a change of mind requires mutual written agreement, unless a cancellation or termination right arises under the contract or applicable law.

If you request cancellation, we will consider the status of the order and confirm any agreed financial and operational consequences before the cancellation is finalised.

An advance payment is not automatically forfeited. These terms do not impose an automatic cancellation penalty or deduction.

Any rights to terminate because of non-performance or other grounds under applicable law remain unaffected.

12. Additional contractual provisions

These terms do not establish a general exclusion or financial cap on our liability.

A limitation of liability, retention-of-title clause, additional payment security or other special provision applies only where expressly agreed and legally enforceable.

Nothing excludes or restricts liability that cannot lawfully be excluded or restricted.

13. Order of precedence and changes

For the transaction concerned, expressly agreed terms in the accepted quotation and written order confirmation take precedence over these general B2B terms, subject to mandatory law.

If our confirmation proposes a material change to the quotation you accepted, that change requires your agreement. It does not become binding merely because it appears in our confirmation.

Our Terms and Conditions of Sale apply to matters not specifically governed by the business agreement or these terms, insofar as relevant to the transaction.

Later changes to published terms do not retrospectively amend an existing contract without agreement or another lawful basis.

14. Applicable law and disputes

The contract is governed by Bulgarian law to the extent legally permitted.

For international sales, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where its conditions are met. These terms do not exclude its application.

Please contact support@globaltradingam.com about any dispute so that we can seek a resolution. This does not prevent either party from exercising legal rights or meeting applicable procedural deadlines.

A special jurisdiction agreement applies only if expressly agreed and legally valid. Otherwise, jurisdiction is determined by applicable law.

If the buyer is legally a consumer, mandatory consumer protections and rights concerning competent courts remain unaffected.
